This document is not finished. What follows is a structural outline of the terms we intend to put in place, drafted to be reviewed and completed by a qualified commercial lawyer before any customer is asked to accept it. Nothing on this page is currently binding on anyone, and no venue should rely on it as a statement of the actual terms of service. If you're a prospective customer, ask us directly about our current contracting process.
Parties and structure
- Contracting entity (subject to the ongoing decision between our current entity and a possible EU-incorporated vehicle)

Term and termination
- Monthly rolling term, notice period, start date
- Right to suspend for non-payment, with a defined grace period

Fees and payment
- Price, currency, VAT treatment, invoicing and payment terms
- Late payment interest and recovery costs under Directive 2011/7/EU
Liability
- Liability cap
- Exclusions (indirect/consequential loss) and carve-outs (death/personal injury, fraud, gross negligence) that cannot lawfully be excluded
Content responsibility
- Venue warrants the accuracy and lawfulness of its menu content, prices, allergen and dietary information, and images
- Indemnity for third-party claims arising from venue-supplied content
- We are not responsible for order accuracy or food safety — we transmit orders, we do not prepare food
Availability
- Service level target and what it does (and doesn't) guarantee
Intellectual property
- We retain rights in the software; the venue retains rights in its own content and grants us a licence to host, translate, and display it
- Reference-customer clause: permission to name a venue as a reference, with a right to withdraw
Governing law and jurisdiction
- To be finalised alongside the entity decision above
Force majeure
- Addressed explicitly, including infrastructure and connectivity disruption
